This document is an electronic record in terms of the Indian Contract Act 1872; the Information Technology Act 2000, the rules made thereunder; and the amended provisions pertaining to the electronic records in various other statutes as amended by the Information Technology Act, 2000.

  1. Introduction:

Nolan Edutech Private Limited (“Masai”), having its registered office at [●], has launched ‘PlacedbyMasai’ (“Placed”) through the Platform - https://placed.tech (“Platform”) to empower students and professionals through high-quality, unbiased AI-evaluated assessments tests to map candidates’ skills and to facilitate tech hiring by providing pre-assessed candidates, thereby supporting both job seekers and employers in finding the right match efficiently and effectively, streamlining the recruitment process and enhancing job placement opportunities (“Services”).

If you (“User”) continue to browse and use the Platform to avail Services, User irrevocably and unconditionally is agreeing to comply with, abide by and be bound by all these obligations as stipulated in this TOS, which together read with our privacy policy available at [●] (“Privacy Policy”), and any other applicable policies referred to herein or made available on the Platform (collectively referred as “Terms and Conditions” or “T&C”). The T&C’s shall govern User’s relationship with Masai in relation to the usage of the Platform. These T&C’s supersede all previous oral, written T&C’s (if any) communicated to the User and shall act as a binding agreement between Masai and the User.

If the User does not wish to agree to or adhere by or comply with or be bound by any of these terms, the User shall not use or access the Platform. The Materials (as hereafter defined) contained in this Website are protected by applicable copyright and trademark law.

IF USER DO NOT AGREE TO BE BOUND BY ALL T&C’S CAPTURED IN THE TOS, PLEASE DO NOT USE THE PLATFORM OR THE SERVICES.

  1. Scope of the Service:
  1. Masai shall provide the Services (detailed above) to the User for his/ her use and enjoyment subject to the User agreeing to abide by the terms mentioned herein.
  2. The Services provided through the Platform may change from time to time, at the sole discretion of Masai.
  3. Masai assures the User’s that the Platform shall be accessible and operational for users for a 99% of the time.
  4. Masai is and shall continue to remain exclusive owner of the Platform and you shall have a limited right to use the Platform for availing the Service.
  5. By continuing to accessing or utilizing the Platform you acknowledge that you have a non-exclusive, non-transferable, revocable right to use the information or software (“Material”) on the Platform for availing the Services offered by Masai.
  1. Eligibility:
  1. By using the Platform, the User affirm that he/ she is atleast 18 years of age and is fully able and competent to enter in to and abide by the terms, conditions, obligations, affirmations, representations, warranties set forth in this ToS. Registration on the Platform is available only to persons who can form legally binding contracts under Indian Contract Act.1872. Persons who are "incompetent to contract" within the meaning of the Indian Contract Act, 1872 including minors, un-discharged insolvents, or person with unsound mind etc. are not eligible to use the Platform. If you intend to use the Services on behalf of an organization, you agree to these ToS on the organization's behalf and confirm that you have the authority to make such an agreement.
  2. User’s or its authorized representative’s access of the Platform or by accessing availing any of the Services, signifies that the User or the User’s representative is deemed that the User has read and understood and accepted these Terms. If User will be using the Services on behalf of an organization, User agrees to these Terms on behalf of that organization and User represent that User has the authority to do so.
  1. User Account Registration:
  1. Subject to the eligibility criteria outlined above, the User may register on the Platform as either a job seeker or employer by creating a user account and providing the required information as detailed on the Platform ("User Account").
  2. By creating a User Account, the User acknowledges that he/ she/ it is required to provide true and accurate information. The information collected during the account creation process will be governed by our Privacy Policy. You are fully responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your User Account.
  3. User is responsible for maintaining the confidentiality of User login credentials and are fully responsible for all activities that occur under User Account. User can create an Account by sing User’s credentials.
  1. Platform License:
  1. Subject to User’s compliance with the TOS, Masai grants the User a limited, non- exclusive, non-transferable license:
    1. to view, download and print any content of Platform solely for User’s personal and non-commercial purposes; and
      1. to access, modify, edit, and download any content, to which User are permitted access solely for User’s use.
  2. The User has no right to sublicense the license rights granted herein.
  3. User License
  4. The User is granted a limited license download one copy of the materials (information or software) made available on the Masai Website for personal, non-commercial, transitory viewing only. This license shall not constitute a transfer of title or ownership, and under this license the User shall not:
  1. modify or copy the Materials;
  2. use the Materials for any commercial purpose, or for any public display (commercial or non-commercial);
  3. attempt to decompile or reverse engineer any software, source code, underlying ideas, algorithms, or any part of it on the Website;
  4. remove any copyright or other proprietary notations from the Material;
  5. transfer the Materials to another person or "mirror" the Materials on any other server; or
  6. prepare derivative works based upon, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast or otherwise exploit the Platform and Services, except as expressly permitted in the ToS.
  1. No licenses or rights are granted to you by implication or otherwise under any intellectual property rights owned or controlled by Masai or its licensors, except for the licenses and rights expressly granted in the ToS. The User has no right to sublicense the license rights granted herein. The Platform and all the intellectual property rights vested therein is owned by Masai.
  2. This license shall automatically terminate if you violate any of the above restrictions or may be terminated at the sole discretion of Masai at any time. Upon termination of this license, the User must destroy any downloaded Materials in your possession whether in electronic or printed format.
  1. Third Party Services:

While availing Services, Users may connect with third-party service providers. Masai is not responsible for, and does not endorse, any third-party services mentioned on the Platform. It is hereby stated that Masai shall in no way be responsible for any acts or omissions of third parties. Any transaction, dealings, or communication otherwise that the User may have with such third parties are at the User’s own risk and we make no warranties, express or implied regarding the quality or suitability of the services or products of such third-party vendors. User may be redirected to a third-party website upon clicking on such links, these websites will be governed by its privacy policy and terms of use. Masai shall not be responsible for any transaction or dissemination of information that may take place while accessing these third-party websites.

  1. Rules and Conduct:
  1. As a condition of use, the User promises to not use the Platform or Services for any purpose that is prohibited by the ToS or other rules or policies implemented by Masai from time to time or in violation of any applicable laws.
  2. The User shall not (and shall not permit any third party) to take any action that would
  3. constitute a violation of any applicable law, rule, or regulations;
  4. infringes on any Intellectual property right or other right of Masai, its representatives, any other person or entity interact or deal with on the Platform;
  5. is threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another's privacy, tortuous, obscene, offensive, or profane;
  6. impersonate any person or entity.
  7. Masai reserves the right to disable any User Account from the Platform at any time for any reason including, without limitation, upon receipt of claims or allegations from third parties or authorities or where Masai is concerned that the User may have violated the ToS, or without providing any reason at all and with or without notice to the Users.
  8. The User shall not (directly or indirectly) take any action that imposes or may impose an unreasonable or disproportionately large load on Masai (or its third-party providers') or the Services or ensure not to interfere or attempt to interfere with the proper working of the Platform or the Services
  9. The User shall not copy, rent, lease, distribute, or otherwise transfer any or all of the rights that he/ she/ it receives hereunder.
  10. The User shall not access the Platform or the Services, or the personal information of other Users, available on the Platform to build a similar or competitive Platform, product, or service.
  11. The User shall immediately notify Masai of any unauthorised use, or suspected unauthorized use of the User Account, or any other breach of security, in relation to the User’s personal information on the Platform.
  12. One User Account shall not be used by more than one User, as that shall be deemed as an unauthorised usage and Masai reserves the right to disable any such Account from the Platform.
  1. Before Taking the Assessment:
  1. No Collaboration or Plagiarism - You agree not to engage in any form of collaboration or plagiarism during the assessment. You will ensure that all your work is original and will uphold the highest standards of academic integrity.
  2. Technical Readiness - You will make sure that your internet connection, device, and required software are fully functional before the assessment starts. If you encounter any technical issues, you will promptly report them to the appropriate contact.
  3. Quiet Environment-You will take the assessment from a quiet and distraction-free environment to stay focused and respect the integrity of the process.
  4. No Unauthorized Assistance - You will not seek or use unauthorized assistance from individuals, websites, software, or any other resources during the assessment.
  1. Opting in for the Placement Drive
  1. Commitment to Attendance - By opting in for the placement drive, you commit to attending the in-person interview at the venue designated by Placed by Masai.
  2. Accountability for Attendance - You understand that if you fail to attend the scheduled drive, you may be excluded from future opportunities offered by Placed by Masai.
  3. Offer Acceptance - When you receive a verbal offer, you acknowledge that you must accept it. Rejecting the offer will disqualify you from any future opportunities with Masai.
  4. Professional Presentation - You will arrive dressed in formal attire and bring two hard copies of your CV and a laptop.
  5. Full-Day Commitment - You recognize that the interview process might take up an entire day, and you are committed to being present for the full duration.
  6. Adherence to Schedule - You will patiently wait for your interview slot, understanding that the schedule will be managed according to the company’s timing.
  7. Professional Conduct - You will always maintain professionalism. Any inappropriate behaviour towards company or Masai representatives will result in your immediate disqualification from the drive.
  8. Negotiation Protocol - You agree that all negotiations regarding CTC, the date of joining, and the role will be handled by a Masai representative. You will not engage in direct negotiations with the company’s HR team.
  9. Integrity in the Interview Process - You commit to maintaining integrity throughout the interview process. Any instance of plagiarism or collaboration with third parties will lead to your immediate disqualification from the drive, and you will forfeit future opportunities with Masai.
  1. Masai Alerts:
  1. Masai provides User with multiple automatic alerts while providing Services.
  2. Users understand and agree that any alerts provided to User through the Platform may be delayed or prevented by a variety of factors. Masai will do its best to provide alerts in a timely manner with accurate information. However, Masai neither guarantees the delivery nor the accuracy of the content of any alert. User also agrees that Masai shall not be liable for any delays, failure to deliver, or misdirected delivery of any alert; for any errors in the content of an alert; or for any actions taken or not taken by User or any third party in reliance on an alert.
  1. User Contact:
  1. User agrees that Masai may contact Users through telephone, email, SMS, or any other means of communication for the purpose of – (i) obtaining feedback in relation to Platform or our Services; (ii) any events or initiatives that User may be interested in as part of the community of users; (iii) Resolving any complaints, information, or queries by other Users;
  2. User agrees to provide fullest co-operation further to such communication by Masai.
  3. By submitting suggestions or other feedback regarding our Services/Platform, User agrees that we can use and share such feedback for any purpose without any compensation to User and we are under no obligation to keep such feedback confidential.
  4. User may register himself under DND or DNC or NCPR services. Despite of the same, User authorizes us to contact User for the above-mentioned purposes till User Account subsists. This may include transactional as well as support related purposes.
  1. Account Ownership and Editing Rights:

We ensure easy access to the Users by providing an option to update User Account information. We reserve the right to moderate the changes or updates requested by User and we shall take an independent decision whether to publish or reject the requests submitted for the respective changes or updates in User Account. User hereby represent and warrant that User is fully entitled, under Applicable Law, to provide information as part of User Account or otherwise while using our Services, and that no such information breaches any third-party rights, including intellectual property rights and applicable data protection laws. Upon becoming aware of a breach of the foregoing representation, we may modify or delete parts of User Account information at our sole discretion with or without notice to User.

  1. Rights and Obligation relating to the usage of the Platform:
  1. Users shall be prohibited from carrying out the any illegal acts in the Platform including but not limited to acts mentioned below:
  1. violating or attempting to violate the integrity or security of the Platform;
  2. transmitting any information on or through the Platform that is disruptive or competitive to the provision of our Services;
  3. intentionally submitting on the Platform any incomplete, false, or inaccurate information;
  4. making any unsolicited communications to other Users;
  5. using any engine, software, tool, agent or other device or mechanism (such as spiders, robots, avatars, or intelligent agents) to navigate or search the Platform;
  6. circumventing or disabling any digital rights management, usage rules, or other security features of the Platform; or
  7. Any unlawful activities in the Platform which are prohibited by laws of India.
  1. Masai shall, upon obtaining knowledge by itself or been brought to actual knowledge by an affected person in writing or through email signed with electronic signature about any such information as mentioned above, be entitled to disable such information that is in contravention of this Clause. Masai shall also be entitled to preserve such information and associated records for at least 90 (ninety) days for production to governmental authorities for investigation purposes. In case of non-compliance with any Applicable Laws, or the T&C’s/ Privacy Policy) by a User, Masai shall have the right to immediately terminate User access or usage rights to the Platform and Services and to remove non-compliant information from the Platform.

  2. Masai may disclose or transfer User-generated information to our affiliates or governmental authorities in such manner as permitted or required by applicable law, and User hereby consents to such transfer.

 

  1. Masai and User Materials:
  1. While rendering Services, Masai directly or through its representatives, may provide Users Masai Materials via the Platform. Masai Materials shall be the exclusive property of the Masai. User hereby agrees and acknowledges that he/she shall ensure that the Masai Materials are not shared with any third party, without Masai’s written consent and any breach of such nature shall cause financial and irreparable injury to Masai.
  2. Masai hereby provides User with a revocable, non-exclusive, non-transferable, non-sublicensable, limited license to use the Masai Materials solely for its use.
  3. While availing Services, User may submit User Materials using the Platform or while availing Services. User hereby provides Masai with an exclusive, transferrable, perpetual, and irrevocable license to use the User Materials for its use. User hereby agrees and acknowledges that User Materials shall not infringe any intellectual property rights of third party and Masai shall not be responsible for any claims arising out of such infringement.
  4. Additionally, all User Materials provided will be used by Masai for analytics to understand the User and the market, and hereby Masai reserves its right to revise and enhance the Platform and the Services provided the User.
  1. Data Privacy Clause:
  1. Masai is committed to protecting the privacy and security of User’s Personal Information. By using Masai Platform, User consents to the collection, use, and disclosure of its own or its personnel’s Personal Information in accordance with Masai’s Privacy Policy available at [●]. Masai may collect personal information such as the User or its Personnel’s name, contact details, and employment history to provide the User or its Personnel with the Services.
  2. Masai will not sell, rent, or share User or its the User or its Personnel’s Personal information with third parties without User’s consent, except as required by law or as necessary to provide its the Services. Masai uses industry-standard security measures to protect the User or its the User or its Personnel’s Personal Information from unauthorized access, use, or disclosure.   1. Modification:

Masai reserves the right, at any time and in with sole discretion, to change, modify, or amend the Platform (in whole, or in part) or any of its Services (in whole, or in part), in compliance with the Applicable Laws. User agrees that Masai will not be liable to User for any change, modification or amendment of the Platform or its Services, or any part thereof. 

  1. Support:
  1. Masai offers an email-based support system. In case any User requires any assistance or support, User may access support resources or contact our support by emailing at support@placed.tech

  2. Masai shall acknowledge every complaint within 24 hours of receipt of the complaint. Further, Masai shall take best possible efforts to redress the complaint within fifteen (15) days of receipt of the complaint. Any suggestions by Masai regarding use of the Services shall not be construed as a warranty.

  3. The User agrees and acknowledges that Masai shall address and attempt to resolve the complaint received in accordance with the standard policies and procedures adopted by Masai, the User’s disapproval/discontent with the outcome/mode of redressal shall not be deemed to mean non-redressal of the complaint by Masai.

  1. **Temporary Suspension of Services: **

Masai has the right to temporarily suspend access to the whole or any part of the Services for any reason whatsoever (including but not limited to technical/operational reasons) and shall be under no liability to User in such an event. Further, Masai may, but shall not be obliged to, give User notice of any interruption of access to the Service. Masai may temporarily suspend access to the whole or any part of the Services for pre-scheduled maintenance. The intent to temporarily suspend access for pre-scheduled maintenance may be communicated to User twenty-four (24) hours in advance via email to the email address provided by User upon creation of User Account. If User choose to access the Platform or avail Services during such pre-scheduled maintenance, Masai cannot guarantee the availability of the Services and/or functionality of the Platform. 

  1. Termination of Services:
  1. Masai may terminate User’s usage of the Platform at any time for any reason, including breach of the T&C’s. Masai has the right (but not the obligation) to refuse to grant access to Platform. Except for the rights and license granted in these terms, Masai reserves all other rights and grant no other rights or licenses, implied or otherwise.

  2. Once temporarily suspended, indefinitely suspended, or terminated, the User may not continue to use the Platform under the same account, a different account or re-register under a new account. On termination of an account due to the reasons mentioned herein, such User shall no longer have access to data, messages and other material kept on the Platform by such User. All provisions of the T&C’s, which by their nature should survive termination, shall survive termination, including, without limitation, warranty disclaimers, indemnity, and limitations of liability.

  1. Disclaimer:

THE SERVICE (INCLUDING, WITHOUT LIMITATION, ANY CONTENT AND MATERIALS ON THE WEBSITE) IS PROVIDED “AS IS” AND “AS AVAILABLE” AND IS WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, AND ANY WARRANTIES IMPLIED BY ANY COURSE OF PERFORMANCE OR USAGE OF TRADE, ALL OF WHICH ARE EXPRESSLY DISCLAIMED. MASAI, ITS DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, SPONSORS AND PARTNERS DO NOT WARRANT THAT: (A) THE SERVICE WILL BE SECURE OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY DEFECTS OR ERRORS WILL BE CORRECTED; (C) ANY CONTENT OR SOFTWARE AVAILABLE AT OR THROUGH THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE SERVICE WILL MEET USER REQUIREMENTS. USERS USE OF THE SERVICE IS SOLELY AT USERS OWN RISK.

FURTHERMORE, MASAI DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS CONCERNING THE ACCURACY, POTENTIAL RESULTS, OR RELIABILITY OF THE USE OF THE MATERIALS ON THE WEBSITE OR ANY MATERIALS LINKED TO THIS SITE.

MASAI DOES NOT PROMISE TO STORE OR KEEP SHOWING ANY INFORMATION AND CONTENT THAT USER HAS POSTED, EXCEPT WHAT HAS BEEN EXPLICITLY MENTIONED IN THE TOS. MASAI IS NOT A STORAGE SERVICE. USER AGREES THAT MASAI HAS NO OBLIGATION TO STORE, MAINTAIN OR PROVIDE USER A COPY OF ANY CONTENT OR INFORMATION THAT USER OR OTHERS PROVIDE, EXCEPT TO THE EXTENT REQUIRED BY APPLICABLE LAW AND AS NOTED IN OUR TOS OR PRIVACY POLICY. USER HEREBY ACKNOWLEDGES AND AGREES THAT USER SHALL ONLY PROVIDE TRUE AND CORRECT INFORMATION AND IN THE CASE OF CREATING AN ACCOUNT USER UNDERTAKES TO AT ALL TIMES KEEP THE INFORMATION UP TO DATE. MASAI IS NOT RESPONSIBLE FOR ANY NON-PERFORMANCE OR BREACH OF ANY CONTRACT ENTERED INTO BETWEEN USERS AND THIRD PARTY.

  1. Indemnification:

User shall defend, indemnify, and hold harmless Masai, its affiliates/subsidiaries/joint venture partners and each of its, and its affiliates’/subsidiaries/joint venture partners’ employees, contractors, directors, suppliers and representatives from all liabilities, losses, claims, and expenses, including reasonable attorneys’ fees, that arise from or relate to (i) User’s use or misuse of, or access to, the Services and Platform; or (ii) User’s violation of the T&C’s; or any applicable law, contract, policy, regulation or other obligation. Masai reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by User, in which event User will assist and cooperate with us in connection therewith.

  1. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MASAI (INCLUDING ITS DIRECTORS, EMPLOYEES, AGENTS, SPONSORS, PARTNERS, SUPPLIERS, CONTENT PROVIDERS, LICENSORS OR RESELLERS,) BE LIABLE UNDER CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE OR ANY OTHER LEGAL OR EQUITABLE THEORY WITH RESPECT TO THE SERVICES (I) FOR ANY LOST PROFITS, DATA LOSS, LOSS OF GOODWILL OR BUSINESS INTERRUPTION, ARISING OUT OF THE USE OR INABILITY TO USE THE MATERIALS ON THE WEBSITE OR OPPORTUNITY, OR SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER, (II) FOR USER RELIANCE ON THE SERVICES (III) FOR ANY DAMAGES (IV) FOR ANY MATTER BEYOND ITS OR THEIR REASONABLE CONTROL, EVEN IF MASAI HAS BEEN ADVISED OF THE POSSIBILITY OF ANY OF THE AFOREMENTIONED DAMAGES.

USER FURTHER AGREE AND CONFIRM THAT MASAI SHALL NOT BE RESPONSIBLE, IN ANY MANNER WHATSOEVER, FOR ANY DELAY/UNAVAILABILITY OF SERVICES OR FAILURE TO MEET ITS OBLIGATIONS UNDER THE T&C’S, WHICH MAY BE CAUSED, DIRECTLY OR INDIRECTLY, DUE TO: (I) USER’S FAILURE TO COOPERATE; (II) USER’S UNAVAILABILITY AND/OR UNRESPONSIVENESS; (III) USER’S FAILURE TO PROVIDE ACCURATE AND COMPLETE INFORMATION; (IV) USER’S FAILURE TO PROVIDE OR FACILITATE THE SUBMISSION OF USER MATERIALS IN TIMELY MANNER; (V) ANY EVENT BEYOND MASAI’S REASONABLE CONTROL.

  1. Accuracy of Materials:

The Materials on the Platform may contain technical, typographical, or photographic errors. Masai does not warrant the accuracy, completeness or currentness of any of the Materials. Masai reserves the right to make changes to the Materials on the Platform at any time without notice.

  1. Link:

Masai has not and shall not be responsible to review the sites linked to its Platform and is not responsible for the contents of any such linked site. The inclusion of any link on the Platform does not imply endorsement or approval by Masai of such site or its contents. Use or access of any such linked Platform or its content shall be at the risk of the User.

  1. Modifications

User's use of the Platform or Services is subject to the ToS, which may be updated amended, modified, or revised by Masai from time to time with/without notice to the User. To ensure that User is aware of any additions, revisions, amendments, or modifications. Masai may from time to time send the User on his registered email address an email containing the ToS amended/modified/revised notification or can reflect such amended/modified/revised notification on the Platform and you are expected to keep yourself updated with the same. You understand that Masai is not under any obligation to notify the Users of any changes to the ToS.

The updated or amended ToS shall be effective immediately and shall supersede all the earlier version of the ToS. You shall solely be responsible for reviewing the ToS from time to time for any amendments/modifications/revisions. User's continuous use of the Platform and availing of the Services after the amended/modified/revised ToS have been published, shall be deemed that User has read and understood and accepted the amended/modified/revised ToS. Any reference to terms and conditions shall refer to the latest version of the ToS.

  1. Communication policy:

Masai may use the information submitted by you to respond to any queries raised by you pursuant to or in connection with your use and access to the Platform. Additionally, Masai may also use this information to send you communications via e-mails, WhatsApp messages, phone calls and SMS for administrative and marketing purposes, through its own servers and systems, or through third party service providers. You can unsubscribe/opt-out from the said communications at any time: Please email Masai at support@placed.tech to unsubscribe from e-mails, WhatsApp messages, phone calls and SMS.

  1. Plagiarism and Consequences:

Plagiarism, the act of using someone else's work or ideas without proper attribution and presenting them as one's own, is strictly prohibited on the Website. This prohibition extends, without limitation, to the use of GitHub repositories, GitHub Copilot, ChatGPT, or any other AI-assisted tools to generate or submit code or content that is not entirely your own original work or idea. Users found to be engaging in plagiarism will face severe consequences, including but not limited to:

  1. Immediate termination of their User Account.
  2. Disqualification from any ongoing or future assessments.
  3. Notification to their educational institution or employer, if applicable.

  1. This ToS are the entire agreement and understanding between you and Masai with respect to the Services and usage of Platform.
  2. If any provision of the ToS is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the ToS will otherwise remain in full force and effect and enforceable.
  3. The failure of Masai to exercise any right provided for herein shall not be deemed a waiver of any further rights hereunder.
  4. The ToS are personal to a User, and are not assignable or transferable by the User except with Masai’s prior written consent. Masai may assign, transfer or delegate any of its rights and obligations hereunder without any consent or notice to the Users.
  5. No agency, partnership, joint venture, or employment relationship is created as a result of the ToS and neither party has any authority of any kind to bind the other in any respect.
